These Terms of Service (“Terms” or “Agreement”) constitute a binding agreement between you (the “Customer” or “you”) and Onpipeline Inc., a company organized under the laws of the State of Delaware, United States, operating the Representative24 service (“Representative24”, “we”, “us”, or “our”).
These Terms govern your access to and use of our websites, applications, products, and services, including AI-powered agents, automated communications, integrations, and related functionalities (collectively, the “Services”).
By creating an Account, subscribing to a plan, including a Free Plan, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you use the Services on behalf of a company or other organization, you represent that you have the authority to bind that entity to this Agreement.

Conta: An account created when an individual, company, or other legal entity registers to access the Services.
Cliente: The individual, company, organization, or other legal entity that establishes and manages an Account.
Acordo: These Terms of Service, together with any applicable policies, agreements, and documents expressly incorporated by reference.
Informações confidenciais: Information designated as confidential or that should reasonably be understood to be confidential based on its nature or the circumstances of disclosure.
Serviços: The Representative24 platform, available through representative24.com and related applications, including AI agents, integrations, automated communications, and associated functionality.
Período de subscrição: The period covered by a Customer’s subscription, whether monthly, annually, or otherwise specified.
Plano gratuito: A complimentary subscription offered subject to the features, usage limits, and conditions established by Representative24.
Customer Data: Information, content, documents, instructions, and other materials submitted, collected, connected, or processed through the Services by or on behalf of a Customer.
Utilizador final: An individual who interacts with an AI agent deployed or configured by a Customer.
1. A sua conta
1.1 Account Registration
You agree to provide accurate, current, and complete information when creating or managing your Account.
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account.
You must promptly notify Representative24 if you become aware of unauthorized access or any security incident affecting your Account.
1.2 Access and Use
Subject to compliance with this Agreement, Representative24 grants you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription.
You agree not to share your credentials with unauthorized persons or permit access in violation of the applicable subscription conditions.
You are responsible for managing access permissions and activities performed by your authorized Users.
1.3 Billing Information
Authorized Account administrators may manage billing information and payment methods through the functionality available in their Accounts.
Payment information may be processed and stored by third-party payment service providers.
Representative24 does not intentionally store complete payment card numbers within its own application systems.
You are responsible for maintaining accurate billing information and preventing unauthorized changes to your Account.
1.4 Third-Party Applications
You may choose to connect third-party applications, platforms, or services to Representative24.
These applications are independently operated and may be governed by their own terms and privacy policies.
You are responsible for reviewing and authorizing the permissions granted to third-party services.
Representative24 does not control third-party services and is not responsible for their independent acts, omissions, availability, or security practices, except where liability cannot lawfully be excluded.
1.5 Prohibited Activities
You agree not to use the Services for unlawful, fraudulent, abusive, or unauthorized activities.
Prohibited activities include, without limitation:
Violating applicable laws, regulations, or third-party rights.
Attempting unauthorized access to systems, accounts, or information.
Distributing malware or harmful code.
Sending unlawful spam or unsolicited communications.
Interfering with the security, performance, or availability of the Services.
Circumventing applicable technical restrictions or usage limits.
Using AI agents to engage in unlawful, deceptive, or otherwise prohibited conduct.
Representative24 may restrict, suspend, or terminate access where reasonably necessary to address violations, security threats, or misuse.
2. Taxas
2.1 Subscription Fees
By subscribing to a paid plan, you agree to pay the applicable fees according to the pricing and billing terms presented at the time of purchase.
Subscription fees are generally billed in advance.
Unless otherwise required by applicable law or expressly stated in the applicable subscription terms, unused Services and partial subscription periods are not refundable.
Where approved by Representative24, credits may be applied toward future subscription payments.
2.2 Changes to Pricing
Representative24 may modify subscription prices by providing at least thirty (30) days’ prior notice.
Notice may be provided through the Services, by email, or through another reasonable communication method.
Updated prices will apply according to the notice and applicable subscription terms.
Continued use of a paid subscription after the effective date of a properly notified price change constitutes acceptance of the updated pricing, to the extent permitted by applicable law.
2.3 Payment Methods and Failed Payments
You authorize Representative24 and its authorized payment service providers to charge the payment method associated with your Account for applicable subscription fees.
If payment cannot be completed, Representative24 may request updated payment information, restrict access, or suspend the subscription.
An Account may remain suspended for up to one (1) month before being downgraded or terminated, subject to applicable law and service policies.
Unpaid amounts relating to Services already provided remain due.
3. Duração, renovação e anulação
3.1 Subscription Period and Renewal
Subscriptions are provided on a monthly, annual, or other billing basis according to the selected plan.
Unless canceled before the next renewal date, subscriptions automatically renew for the applicable Subscription Period.
Upgrading to a higher subscription tier may provide immediate access to additional features.
Downgrading may result in the immediate or scheduled reduction of available functionality.
Applicable billing adjustments and prorated charges are calculated according to the subscription and billing rules presented within the Services.
3.2 Cancellation
Customers may cancel their subscriptions through the Account interface or another cancellation method made available by Representative24.
To avoid renewal charges, cancellation must be completed before the end of the current Subscription Period.
Cancellation generally prevents future renewals but does not automatically entitle the Customer to a refund for the current period, except where required by applicable law.
3.3 Account Deletion and Data Loss
Account deletion, termination, or certain downgrades may result in the loss of access to features, stored information, conversation histories, knowledge bases, and other Customer Data.
Customers are responsible for exporting or preserving information they wish to retain before terminating their Accounts, where export functionality is available.
Data deletion and retention are governed by the applicable service procedures and Privacy Notice.
Representative24 is not responsible for losses resulting from Customer-initiated deletion or termination, except where applicable law requires otherwise.
3.4 Changes to Data Storage and Processing
Representative24 may modify its technical infrastructure, storage systems, and data processing procedures to maintain, improve, or secure the Services.
Such changes will be implemented in accordance with applicable legal, contractual, and data protection obligations.
3.5 Suspension and Termination
Representative24 may suspend or terminate access to the Services in response to:
Violations of these Terms or the Usage Policy.
Failure to pay applicable fees.
Security threats or unauthorized activities.
Unlawful use or misuse of the Services.
Conduct that creates material risks for Representative24, its infrastructure, or other users.
Representative24 may also modify or discontinue features or Services for operational or business reasons, subject to applicable contractual and legal requirements.
4. Intellectual Property Rights and Customer Content
4.1 Customer Ownership
Customers retain their rights to the content, documents, information, and materials they submit to the Services.
Customers grant Representative24 the limited rights necessary to host, process, transmit, retrieve, and otherwise use such content for providing the requested Services.
Customers represent that they have the rights and permissions necessary to provide or connect their content to Representative24.
4.2 Unlawful or Unauthorized Content
Representative24 does not routinely monitor or review Customer-provided content before it is processed by the Services.
However, Representative24 reserves the right to restrict access, remove content, suspend Accounts, or terminate Services when unlawful content, misuse, or violations of these Terms become known.
Such actions may be taken where reasonably necessary to protect the Services, comply with legal requirements, or prevent harm.
4.3 Intellectual Property of Representative24
The Representative24 platform, software, interfaces, trademarks, designs, documentation, and related intellectual property remain the property of Onpipeline Inc. or its respective licensors.
Access to the Services does not transfer ownership of any intellectual property rights.
Customers may not reproduce, redistribute, reverse engineer, or commercially exploit the Services except as expressly permitted by applicable law or written agreement.
4.4 Customer Name and Logo
The Customer authorizes Representative24 to use its company name and logo to identify the Customer in marketing materials, presentations, and website content.
Such use will respect any applicable brand guidelines provided by the Customer.
This authorization may be revoked at any time through written notice.
All trademark rights remain with the Customer.
5. Plano gratuito
5.1 Availability
Representative24 may offer a Free Plan that allows users to access selected features without subscription fees.
Free Plan features, usage allowances, and availability are determined by Representative24 and may differ from paid subscriptions.
5.2 Changes to the Free Plan
Representative24 may modify, restrict, or discontinue the Free Plan at its discretion, subject to applicable law.
Such changes may include adjustments to available features, usage allowances, storage, integrations, or other functionality.
5.3 Abuse Prevention
Creating multiple Accounts or using other methods to circumvent Free Plan restrictions is prohibited.
Representative24 may suspend or terminate Accounts involved in abuse or misuse of complimentary Services.
5.4 Inactive Accounts
Free Plan Accounts with no login activity for a continuous period of twelve (12) months may be downgraded or deleted.
Customers are responsible for maintaining access to their Accounts and preserving information they wish to retain.
5.5 Free Plan Disclaimer
Free Plan Services are provided subject to the availability, limitations, and disclaimers described in these Terms.
To the extent permitted by applicable law, Representative24 is not responsible for losses arising from the unavailability, modification, or discontinuation of complimentary Services.
6. Responsibility, Confidentiality, and Indemnification
6.1 Customer Responsibility
Customers are solely responsible for the content, information, documents, instructions, configurations, and data they provide to or collect through their AI agents.
This includes personal, sensitive, confidential, health-related, or otherwise regulated information.
Representative24 does not routinely monitor, review, or approve Customer-provided content or information submitted by End Users before it is processed by the Services.
Customers are responsible for determining whether their intended use of the Services is appropriate and lawful.
This responsibility includes:
Obtaining any necessary permissions or consents.
Providing legally required notices to End Users.
Ensuring compliance with applicable privacy, consumer protection, communications, and industry-specific laws.
Managing AI agent instructions, permissions, and configurations.
Ensuring that connected third-party applications are appropriate for the intended purposes.
Determining whether automated actions require additional authorization or human review.
Representative24 does not independently determine the purposes for which Customers collect or process information through their AI agents.
6.2 AI Agents and Automated Actions
Customers acknowledge that AI agents may generate responses, provide information, interact with End Users, and perform actions according to Customer-defined instructions and connected services.
Depending on their configuration, AI agents may schedule appointments, retrieve information, qualify leads, interact with business systems, or initiate other automated processes.
Customers are responsible for reviewing and managing their AI agents and the actions they are authorized to perform.
AI-generated content may be inaccurate, incomplete, inappropriate, or inconsistent with Customer expectations.
Customers must not rely exclusively on AI-generated output for decisions requiring professional judgment, legal compliance, or other critical assessments without appropriate verification.
6.3 Confidentiality
Each party agrees to protect Confidential Information received from the other party and not to disclose such information except as necessary to perform its obligations, exercise its rights under this Agreement, or comply with applicable law.
Confidentiality obligations do not apply to information that becomes publicly available without breach, was lawfully known before disclosure, is independently developed, or is lawfully obtained from another source without confidentiality restrictions.
These obligations survive termination of the Agreement for as long as the information remains confidential, subject to applicable law.
6.4 Indemnification
To the fullest extent permitted by applicable law, the Customer agrees to indemnify, defend, and hold harmless Onpipeline Inc., its officers, directors, employees, agents, and affiliates from and against third-party claims, liabilities, damages, losses, costs, and reasonable legal expenses arising from:
Customer-provided content or data that violates applicable laws or infringes third-party rights.
Unlawful or unauthorized collection, disclosure, or processing of information by the Customer.
Customer configurations, instructions, integrations, or activities performed through its AI agents.
Misuse of the Services by the Customer or its authorized Users.
Violations of these Terms or applicable laws by the Customer.
The indemnification obligation does not apply to the extent a claim results from Onpipeline Inc.’s own unlawful conduct or other liabilities that cannot legally be excluded or transferred.
Onpipeline Inc. will provide reasonable notice of an indemnifiable claim and cooperate in its defense, subject to applicable law.
7. Proteção e tratamento de dados
7.1 Data Security
Representative24 maintains technical and organizational safeguards designed to protect the confidentiality, integrity, and security of Personal Data.
These safeguards may include access controls, encryption, authentication mechanisms, monitoring, and other measures appropriate to the nature of the Services.
Representative24 may use infrastructure and service providers located in different jurisdictions.
Data processing and international transfers are subject to the applicable Privacy Notice, contractual arrangements, and legal requirements.
7.2 Data Processing Responsibilities
Where Representative24 processes Personal Data on behalf of a Customer, the Customer generally acts as the data controller, or equivalent entity under applicable law, while Onpipeline Inc. acts as the data processor or service provider.
Customers are responsible for determining the lawful purposes and appropriate scope of their processing activities.
Representative24 processes Customer Data to provide, operate, maintain, and secure the Services in accordance with applicable agreements and authorized configurations.
Where required by applicable law, the parties will enter into an appropriate Data Processing Agreement or other legally required arrangement.
7.3 Privacy Notice
Our Privacy Notice, available at https://www.representative24.com/privacy/, describes our practices regarding the collection, use, processing, and protection of Personal Data.
The Privacy Notice forms part of the information provided in connection with the Services and should be read alongside these Terms.
8. Exoneração e limitação de responsabilidade
8.1 Services Provided As Available
The Services are provided on an “as is” and “as available” basis, except as expressly stated in an applicable written agreement.
8.2 Customer Data Responsibility
Customers acknowledge that they are responsible for the information they submit, upload, collect, transmit, or otherwise process through the Services.
Representative24 does not guarantee the accuracy, completeness, legality, or suitability of Customer-provided content.
8.3 Service Availability
To the fullest extent permitted by applicable law, Representative24 disclaims warranties that the Services will be uninterrupted, error-free, or available at all times.
Maintenance, updates, security measures, technical failures, or events outside our reasonable control may temporarily affect availability.
8.4 Third-Party Services
Representative24 is not responsible for the independent operation, availability, content, or security of third-party applications, platforms, networks, or services.
Information provided by personnel or through the Services does not create additional warranties unless expressly agreed in writing.
8.5 Limitation of Liability
To the fullest extent permitted by applicable law, the aggregate liability of Onpipeline Inc. arising out of or relating to the Services shall not exceed the total amount paid by the Customer for the specific Representative24 Services giving rise to the claim during the three (3) months preceding the event first giving rise to liability.
To the fullest extent permitted by applicable law, Onpipeline Inc. shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, business opportunities, or anticipated savings.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
8.6 Artificial Intelligence Disclaimer
Customers acknowledge that the Services include artificial intelligence technologies that may generate responses or perform actions based on information, instructions, and configurations provided by Customers or End Users.
AI systems may produce inaccurate, incomplete, inconsistent, or unexpected results.
Representative24 does not guarantee the accuracy, reliability, legality, or suitability of AI-generated content or automated actions for any particular purpose.
Customers are responsible for evaluating the outputs and behaviors of their AI agents and determining appropriate safeguards, approvals, and human oversight.
To the fullest extent permitted by applicable law, Representative24 is not liable for losses or damages arising from Customer reliance on AI-generated content or Customer-configured automated actions, except to the extent resulting from liability that cannot legally be excluded.

The Usage Policy forms an integral part of these Terms.
Customers agree to comply with all applicable usage restrictions and operational requirements described in that policy.
In the event of an inconsistency between these Terms and the Usage Policy, these Terms shall prevail unless expressly stated otherwise.
10. Resolução de litígios
10.1 Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Subject to applicable mandatory laws, the state and federal courts located in Delaware shall have exclusive jurisdiction over disputes arising out of or relating to this Agreement.
10.2 Time Limitation for Claims
To the extent permitted by applicable law, any claim arising out of or relating to this Agreement must be brought within twelve (12) months after the claim first arose.
This provision does not apply where a longer limitation period is required by applicable law.
10.3 Language
These Terms may be made available in multiple languages.
Translations are provided for convenience only.
In the event of a discrepancy or inconsistency between the English version and a translated version, the English version shall prevail to the extent permitted by applicable law.
11. Divisibilidade
If any provision of this Agreement is determined to be unlawful, invalid, or unenforceable by a court or other competent authority, that provision shall be modified or severed to the minimum extent necessary.
The remaining provisions shall continue in full force and effect.
12. Modificações
Representative24 may update these Terms from time to time to reflect changes in the Services, business operations, technology, or applicable laws.
Updated Terms will be published on our website.
Where required by applicable law or contractual obligations, we will provide additional notice of material changes.
Continued use of the Services after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
If a Customer does not agree to the updated Terms, the Customer must discontinue use of the Services and may cancel the subscription in accordance with the applicable cancellation provisions.
13. Diversos
13.1 Entire Agreement
These Terms, together with the policies and agreements expressly incorporated by reference, constitute the entire agreement between the parties concerning the Services.
They supersede prior or contemporaneous agreements, representations, or discussions relating to the same subject matter, unless otherwise expressly agreed in writing.
13.2 Assignment
Customers may not transfer or assign their rights or obligations under this Agreement without prior written consent from Onpipeline Inc., except where permitted by applicable law.
Onpipeline Inc. may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or transfer of substantially all relevant business assets, subject to applicable legal requirements.
13.3 No Waiver
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
13.4 Force Majeure
Neither party shall be responsible for delays or failures to perform obligations resulting from events beyond its reasonable control, including natural disasters, widespread infrastructure failures, governmental actions, or other extraordinary events.
This provision does not excuse payment obligations for Services already provided.
